Terms of use

These Terms of Use apply to your use of Lex HR and Solicitech Limited (“Solicitech”) other services for individuals, along with any associated software applications and websites (all together, “Services”). These Terms form an agreement between you and Solicitech, a UK company. By using our Services, you agree to these Terms.

Our Privacy Policy explains how we collect and use personal information. Although it does not form part of these Terms, it is an important document that you should read.

Registration and access

Minimum age: The Services are designed for individuals who are 18 years of age or older. Anyone under 18 is not allowed to use or sign up for the Services.

Registration: To register for an account to use our Services, you are required to provide accurate and complete information. You must not share your account details or allow others to access your account, and you are accountable for all actions taken through your account. If you are creating an account or using the Services for another individual or entity, you must be authorised to agree to these Terms on their behalf.

Using our services

What you can do: Subject to your compliance with these Terms, you may access and use our Services. In using our Services, you must comply with all applicable laws as well as any other documentation, guidelines, or policies we make available to you.

What you cannot do. You may not use our Services for any illegal, harmful, or abusive activity. For example, you may not:

  • Do not use our Services in a manner that violates, infringes, or misappropriates someone else's rights.
  • Do not alter, duplicate, lease, sell, or distribute any part of our Services.
  • Do not try to, or help anyone else to, reverse engineer, decompile, or determine the source code or underlying parts of our Services, including our models, algorithms, or systems, unless such actions are permitted by law.
  • Do not automate or programmatically extract data or Output (as defined later).
  • Do not falsely claim that the Output was created by a human when it was not.
  • Do not interfere with or disrupt our Services, including avoiding any rate limits, restrictions, or bypassing any protective measures or safety features we implement.
  • Do not use Output to create models that directly compete with Solicitech.

Software: Our Services may allow you to download software, such as mobile applications, which may update automatically to ensure you're using the latest version. Our software may include open-source software that is governed by its own licenses that we've made available to you.

Corporate domains: If you create an account using an email address owned by an organisation (for example, your employer), that account may be added to the organisation's business account with us, in which case we will provide notice to you so that you can help facilitate the transfer of your account (unless your organisation has already provided notice to you that it may monitor and control your account). Once your account is transferred, the organisation's administrator will be able to control your account, including being able to access Content (defined below) and restrict or remove your access to the account.

Feedback. We appreciate your feedback, and you agree that we may use it without restriction or compensation to you.

Content

Your content: : You are allowed to provide inputs ("Input") to our Services and receive corresponding outputs ("Output"). Together, Input and Output are referred to as "Content." You are accountable for ensuring that your Content adheres to all relevant laws and these Terms. You affirm that you possess all necessary rights, licenses, and permissions to submit Input to our Services.

Ownership of content: Regarding ownership, as permitted by applicable law, you (a) maintain ownership rights over Input and (b) are granted ownership of Output. We transfer to you all our rights, interests, and titles in the Output, if any.

Similarity of content: Given the nature of our Services and artificial intelligence, Output may not be exclusive, and other users may receive similar Output. Our assignment of rights to you does not cover Output generated for other users or any third-party Output.

Use of Content: We do not utilise Content to maintain, develop, or enhance our Services, except to comply with legal requirements, enforce our terms and policies, and ensure the safety of our Services.

Accuracy: Artificial intelligence and machine learning are dynamic and evolving technologies. We continually strive to enhance the accuracy, reliability, safety, and usefulness of our Services. However, due to the probabilistic nature of machine learning, using our Services may sometimes produce Output that does not precisely represent actual people, locations, or facts.

When you use our Services you understand and agree:

  • Output from our Services may not always be accurate. It should not be used as the only source of truth or as a substitute for professional advice.
  • Before utilising or sharing Output from our Services, you need to assess its accuracy and suitability for your specific needs, including incorporating human review where necessary.
  • Output related to individuals should not be used for decisions that could significantly impact that person, such as those affecting credit, education, employment, housing, insurance, legal matters, medical issues, or other critical areas.
  • The Services might generate Output that is incomplete, incorrect, or offensive and does not reflect the opinions of Solicitech. Additionally, if the Output mentions any third-party products or services, this does not imply endorsement or affiliation with Solicitech.

Intellectual property rights

We hold ownership or licenses for all material Intellectual Property Rights created and owned by the Company. This includes all code, databases, designs, text, photos, graphics (collectively referred to as the "Content"), and trademarks or logos (the "Marks"). These are protected by copyright, trademark, and other intellectual property laws in the UK and internationally.

The Content and Marks are available through the Services "AS IS" for your personal, non-commercial use or internal business purposes only.

Using Our Services

Provided you follow these Legal Terms, we grant you a limited, non-exclusive, revocable license to:

  • Access the Services; and
  • Download or print parts of the Content you have access to, strictly for your personal, non-commercial use or internal business purposes.

You may not copy, reproduce, or otherwise use any part of the Services, Content, or Marks for commercial purposes without our explicit prior written consent.

You may not use our name and logo without explicit permission which can be requested at support@lexhr.ai

Paid accounts

Billing: When you buy any of our Services, you must provide accurate and complete billing details, including a valid payment method. For services requiring ongoing payments, we will automatically charge your payment method at each renewal period until you cancel. You are responsible for all applicable taxes, which we will collect as required by law. If your payment fails, we may either downgrade your account or suspend your access until we receive payment.

Cancellation: You can cancel your paid subscription at any time. Payments made are generally non-refundable, unless refundability is mandated by law. These Terms do not supersede any legal rights you have regarding cancellation.

Changes: We may modify our pricing occasionally. Should there be a price increase, we will notify you at least 30 days in advance. The new price will take effect upon your next subscription renewal, allowing you the option to cancel if you disagree with the increase.

Termination and suspension

Termination: You are free to stop using our Services at any time. We reserve the right to suspend or terminate your access to our Services or delete your account if we determine:

  • You breached these Terms.
  • We must do so to comply with the law.
  • Your use of our Services could cause risk or harm to Solicitech, our users, or anyone else.

Appeals: If you believe we have suspended or terminated your account in error, you can file an appeal with us by support@lexhr.ai

Discontinuation of services

We may decide to discontinue our Services, but if we do, we will give you advance notice and a refund for any prepaid, unused Services.

Disclaimer of warranties

Our services are provided "As Is": By law, we and our affiliates and licensors do not provide any warranties (express, implied, statutory, or otherwise) regarding the services, and we disclaim all warranties, including but not limited to, warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, and quiet enjoyment, as well as any warranties arising from course of dealing or trade usage. We do not guarantee that the services will be uninterrupted, accurate, or error-free, or that any content will be secure or not lost or altered.

Use of outputs is at your sole risk: You acknowledge and agree that any use of outputs from our service is at your sole risk, and you will not rely on these outputs as the only source of truth or factual information, nor as a substitute for professional advice.

Limitation of liability

NEITHER WE NOR OUR AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES: THIS INCLUDES DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, OR OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE, OR ONE HUNDRED POUNDS STERLING (£100). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

In some countries, the disclaimer of certain warranties or the limitation of certain damages is not permitted, so some or all of the terms above may not apply to you, and you may have additional rights. In that case, these terms only limit our responsibilities to the maximum extent permissible in your country of residence.

SOLICITECH'S AFFILIATES, SUPPLIERS, LICENSORS, AND DISTRIBUTORS ARE INTENDED THIRD PARTY BENEFICIARIES OF THIS SECTION. THIS ACKNOWLEDGES THEIR RIGHT TO ENFORCE THE LIMITATIONS AND DISCLAIMERS STATED HERE.

Indemnity

If you are a business or organisation, to the extent permitted by law, you will indemnify and hold harmless us, our affiliates, and our personnel, from and against any costs, losses, liabilities, and expenses (including attorneys’ fees) from third party claims arising out of or relating to your use of the Services and Content or any violation of these Terms.

Dispute Resolution

You and Solicitech agree to the following mandatory arbitration

Mandatory arbitration: You and Solicitech agree to resolve any disputes arising from or related to these Terms or our Services through final and binding arbitration, regardless of when the dispute occurred, even if before these Terms were established. You may opt out of arbitration within 30 days of creating your account or within 30 days of any updates to these arbitration terms by mailing us at support@lexhr.ai. If you opt out after an update, the previously agreed-upon arbitration terms will still apply.

Copyright complaints: If you believe your intellectual property rights have been violated, please send a notice to support@lexhr.ai. We may remove or disable content that we believe breaches these Terms or is alleged to be infringing.

Written claims concerning copyright infringement must include the following information:

  • A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest.
  • A description of the copyrighted work that you claim has been infringed upon.
  • A description of where the allegedly infringing material is located on our site so we can find it.
  • Your address, telephone number, and e-mail address.
  • A statement by you that you have a good-faith belief that the disputed use is not authorised by the copyright owner, its agent, or the law.
  • A statement by you that the above information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorised to act on the copyright owner's behalf.

General terms

Assignment: You cannot assign or transfer any rights or obligations under these Terms, and any attempt to do so is void. We may assign our rights or obligations to any affiliate, subsidiary, or successor in interest of any business related to our Services.

Changes to these terms or our services: We continuously work to develop and improve our Services, which may lead to updates in these Terms or the Services themselves due to:

  • Changes in legal or regulatory requirements.
  • Security or safety considerations.
  • Circumstances beyond our reasonable control.
  • Regular developments in our Services.
  • Adaptations to new technologies.

We will provide at least 30 days' advance notice of any changes to these Terms that materially adversely affect you, either through email or an in-product notification. All other changes take effect immediately upon posting on our website. If you disagree with the changes, you must cease using our Services.

Delay in enforcing these terms: Our failure to enforce a provision is not a waiver of our right to enforce it later. If any part of these Terms is found to be invalid or unenforceable, that part will be enforced to the maximum extent permissible, and it will not impact the enforceability of the remaining terms.

Entire agreement: These Terms constitute the entire agreement between you and Solicitech regarding the Services and override any prior agreements, except any service-specific terms.

Governing Law: The laws of England and Wales govern these Terms. Except as mentioned in the dispute resolution section, all claims related to these Terms must be filed in a court in England.
